Please join us for one of our most important events of the year -- AABANY's Annual Meeting. All active members in good standing are invited to attend and vote in the AABANY Officer and Director Elections for the fiscal year 2016 (April 1, 2016 - March 31, 2017).

The AABANY Annual Meeting will be held on the 9th day of February 2016 at 7:00 pm at Skadden, Arps, Slate, Meagher & Flom LLP. At this meeting, a vote will be taken to elect officers and directors for the upcoming year and to amend the by-laws.  Please register on this page if you plan to attend in person.

We ask all active members to help us attain quorum by submitting a proxy ballot, whether or not you plan to attend the Annual Meeting in person. The proxy ballot must be received by February 4. You may download it at Note: The following membership categories do not have voting rights and should not submit any proxy or ballot: Student, Associate, Affinity.

Set forth below, please find a summary of the material proposed changes to the by-laws. 

Section 3.02(a): The Annual Meeting date is changed from the second Tuesday of every January to the second Tuesday of every February, or another date within 30 days of the second Tuesday as determined by the Board.

Reason for the change: With the fiscal year now ending on March 31, this change would bring the date of the Annual Meeting closer to the end of the fiscal year.

Section 4.03: Add a second Vice President of Programs and Operations.

Reason for change: The roles and responsibilities of the Vice President of Programs andOperations have increased such that a second Vice President in this position is now required.

Section 4.11: Move the default date of monthly Board Meetings from the first Tuesday of every month to the second Tuesday of every month.

Reason for change: In actual practice, due to various scheduling issues, the first Tuesdays have proven problematic as a default date so it is being changed to the second Tuesdays.

Sections 3.01(e), 3.07(b), 4.03, 4.09, 4.13(b), 4.17, 4.18(c), 5.01(a), 5.01 (b), 5.04(f), 5.06(h), 7.01: Change the title of Recording Secretary to Secretary.

Reason for change: The role of the Recording Secretary has been more than just recording the minutes. The change in title is intended to reflect that reality. Other than changing the title, the description of duties has not changed.

Sections 2.01(b), 2.01(c), 2.01(e), 2.02(a), 2.02(b), 2.02(c), 3.01(b), 4.03, 5.01(a), 5.06(g), 6.05, 7.02: Change the title of Membership Secretary to Membership Director.

Reason for change: This is a change in title only; the description of duties has not changed. The title change is intended to reflect the reality that this position is not only an administrative position but also serves a strategic and leadership function to develop programs and services to grow membership and provide value to members.
